Terms & Conditions
Last updated: July 07, 2026
These Terms & Conditions ("Terms") govern the provision of website design, brand identity, and related services (the "Services") by DHT Branding ("we," "us," "our") to any individual or business ("Client," "you") who engages our Services. By booking a discovery call, signing a proposal, or making a payment to DHT Branding, you agree to be bound by these Terms.
1. Services
DHT Branding provides custom website design and build services, brand identity and business identity design, and related creative and strategic services for coaches and small business owners. The specific scope, deliverables, and timeline for your project will be outlined in a separate proposal, invoice, or project agreement ("Project Agreement"), which is incorporated into these Terms by reference.
2. Project Timeline
Estimated timelines are provided in good faith based on the scope of your project and your timely participation. Delays caused by late feedback, missing content (copy, images, branding assets), or delayed payment may extend the project timeline. DHT Branding is not responsible for delays outside its reasonable control.
3. Client Responsibilities
To keep your project on schedule, you agree to provide requested content, feedback, and approvals within the timeframe outlined in your Project Agreement (typically within 5 business days of a request, unless otherwise agreed). Projects that stall due to lack of client response for more than 30 days may be paused or subject to a re-engagement fee to resume.
4. Payment Terms
Unless otherwise stated in your Project Agreement, projects are billed as follows: a 50% deposit is due upon booking to reserve your project start date, and the remaining 50% balance is due upon project completion, prior to final delivery, publishing, or transfer of files. Invoices are due upon receipt unless otherwise noted. Late payments may result in a pause of work until payment is received.
5. Revisions
Your Project Agreement will specify the number of revision rounds included in your package. Additional revision rounds, or changes to project scope after work has begun, will be billed at our standard hourly rate or quoted separately.
6. Cancellations & Refunds
The deposit is non-refundable once paid, as it reserves your project slot and covers planning and preparation time. If a project is canceled after work has begun, no refund will be issued for work already completed. DHT Branding reserves the right to cancel a project at its sole discretion.
7. Ownership & Intellectual Property
Ownership of the final approved website files, brand assets, and deliverables transfers to the Client only upon receipt of final payment in full. Until final payment is received, all work product remains the property of DHT Branding. DHT Branding retains the right to display completed projects in its portfolio, website, and marketing materials unless otherwise agreed in writing.
8. Third-Party Platforms & Tools
Websites and related deliverables may be built on third-party platforms (such as website builders, CRM tools, or course-hosting platforms) selected in consultation with the Client. The Client is responsible for any subscription, hosting, or licensing fees associated with third-party platforms. DHT Branding is not responsible for outages, price changes, feature changes, or discontinuation of any third-party platform.
9. Independent Contractor
DHT Branding operates as an independent contractor. Nothing in these Terms creates an employment, partnership, or joint venture relationship between DHT Branding and the Client.
10. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of the engagement, and not to disclose it to third parties without consent, except as required by law.
11. Limitation of Liability
DHT Branding's total liability for any claim arising from the Services will not exceed the total amount paid by the Client for the Services giving rise to the claim. DHT Branding is not liable for indirect, incidental, or consequential damages, including lost profits or business opportunities, arising from your use of the deliverables.
12. No Guarantee of Results
While we design with strategy and best practices in mind, DHT Branding does not guarantee specific business outcomes — such as increased bookings, sales, traffic, or client conversions — as a result of our Services.
13. Governing Law
These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law principles.
14. Changes to These Terms
DHT Branding may update these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
